Business Capital as Contractual Object - A Comparative Legal Study.
This work includes a comparative legal study of business capital (fonds de commerce) as transactional object from the perspective of a cross-border asset deal. The concept and scope of business capital are considered from the German and Egyptian perspective as well as from the perspective of some Arab legal systems. The rights and obligations associated with business capital are examined, particularly with regard to the extent to which they can be transferred to the acquirer along with business capital. The various methods of transferring business capital under Egyptian law and, where comparable, under German law are discussed and evaluated. Emphasis is placed on business capital from a modern perspective, particularly online business capital and the business capital with cross-border aspects. The objective is to assess to what extent the regulations on traditional business capital are applicable or sufficient for online business capital. Finally, the regulations regarding business capital are considered in relation to other legal developments.
